1. Acceptance & Authority
These Terms of Service ("Terms") form a binding agreement between you and EZDISPLAY LLC governing your access to and use of Scannect, including the Scannect website, web application, mobile experience, APIs, MCP server, and related services (collectively, the "Service"). By creating an account, clicking "Sign in," or otherwise accessing or using the Service, you agree to these Terms.
If you use the Service on behalf of an employer, organization, or other entity ("Organization"), you represent that you have authority to bind that Organization to these Terms and that "you" refers to that Organization. If you do not have that authority or do not agree to these Terms, do not use the Service.
2. The Service
Scannect is a field-sales customer relationship management ("CRM") product built for medical, pharmaceutical, and device sales representatives. Features include business-card scanning and optical character recognition, contact and office management, visit logging, pipeline and task tracking, AI-assisted drafting, and optional connected email sending.
The Service is evolving. Some features are labeled beta, preview, or limited, and we may add, change, restrict, or discontinue features, limits, integrations, and plans at any time. Where we make material changes to core paid functionality you rely on, we will use reasonable efforts to notify you.
3. Ownership & Intellectual Property
As between the parties, EZDISPLAY LLC and its licensors own all right, title, and interest in and to the Service, including the software, underlying models, templates, user interface, documentation, the "Scannect" name and logo, and the "Scan. Connect. Sell." tagline (collectively, the "EZDISPLAY IP"). No rights are granted except as expressly stated in these Terms.
Subject to these Terms and your payment of any applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal business purposes. You may not remove or alter any proprietary notices and may not use EZDISPLAY IP outside the Service without our prior written permission.
4. Eligibility & Accounts
The Service is intended for business users who are at least 18 years old. You agree to provide accurate account and profile information and to keep it current. You are responsible for safeguarding your credentials and for all activity that occurs under your account. You must promptly notify us at support@myscannect.com if you suspect unauthorized access or any other security incident affecting your account.
5. Customer Data
"Customer Data" means the data, files, images, contacts, notes, visits, tasks, pipeline records, templates, and other content you or your Organization submit to or generate in the Service. As between the parties, you retain all rights in Customer Data.
You grant EZDISPLAY LLC a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, process, and otherwise use Customer Data solely to provide, secure, support, troubleshoot, improve, and legally operate the Service, and as otherwise permitted in our Privacy Policy. We do not sell Customer Data and do not use it for third-party targeted advertising.
6. Your Responsibility for Content
You are solely responsible for Customer Data and for having a valid lawful basis to collect, upload, process, share, and use it in the Service, including business cards, contact details, office and account information, notes, visit history, communications, imported records, and any data obtained from third parties. You are responsible for providing any legally required notices to and obtaining any legally required consents from the individuals reflected in Customer Data, and for honoring their applicable rights and preferences.
7. No PHI / Not a HIPAA Business Associate
Scannect is a sales relationship management product, not a clinical, medical, or patient system. You agree not to submit, upload, or store in the Service any patient records, protected health information ("PHI") as defined under the U.S. Health Insurance Portability and Accountability Act of 1996 and its regulations ("HIPAA"), individually identifiable health information, clinical data, diagnoses, treatment information, prescriptions, laboratory or test results, medical images, insurance or claims data, patient billing or payment data, patient appointments, or any other patient-identifying medical data.
EZDISPLAY LLC is not acting as a HIPAA "business associate" and the Service is not designed for or offered as a HIPAA-compliant environment unless the parties have signed a separate written business associate agreement expressly covering the Service. In the absence of such an executed agreement, no representation, statement, configuration, or feature of the Service creates a business-associate relationship.
8. No Medical Advice or Clinical Use
The Service does not provide medical advice, diagnosis, or treatment recommendations and must not be used for clinical decision-making, patient care, or any purpose that could affect patient safety. Nothing in the Service is a substitute for the judgment of a qualified healthcare professional.
9. Card Scanning & OCR
Business-card scanning and OCR results may contain errors, omissions, or misclassifications. You are responsible for reviewing and correcting extracted data before relying on it. Do not scan or upload government identification, payment cards, access credentials, patient intake or medical forms, or other sensitive documents; the Service is not designed to store or protect that content.
10. AI Features
The Service includes AI-assisted features that generate drafts and suggestions ("AI Output"). AI Output may be inaccurate, incomplete, biased, or otherwise unsuitable. You are responsible for reviewing, editing, and approving any AI Output before use and for all communications you send.
AI Output is not legal, medical, regulatory, financial, tax, or compliance advice. You should consult qualified professionals for decisions in those areas.
11. Sales & Outreach Compliance
You are solely responsible for the lawfulness of your sales and outreach activities conducted with or through the Service, including compliance with laws and rules governing commercial email (such as CAN-SPAM), telephone and text-message marketing (such as the TCPA), do-not-call and do-not-contact registries, unsubscribe and opt-out mechanisms, consent, recording, and the promotion of pharmaceutical, medical device, biological, and other regulated products, including rules governing samples, transfers of value (e.g., Open Payments / Sunshine Act reporting), product claims, off-label communications, and your employer's or the manufacturer's applicable codes of conduct and policies.
12. Acceptable Use
You will not, and will not permit anyone to:
- use the Service for any unlawful, deceptive, fraudulent, or harmful purpose;
- send spam, unlawful outreach, or harassing, threatening, or defamatory content;
- scrape, harvest, or extract data from the Service without our written authorization;
- introduce malware or interfere with or disrupt the Service or its infrastructure;
- conduct vulnerability, penetration, or load testing without our prior written consent;
- bypass or attempt to bypass rate limits, quotas, authentication, access controls, or other security measures;
- access another account, workspace, or environment without authorization;
- reverse engineer, decompile, or attempt to derive source code, models, or trade secrets;
- resell, sublicense, or provide the Service to third parties except as expressly permitted;
- use the Service, Customer Data of others, or AI Output to train, build, or improve a competing product;
- store PHI or use the Service for clinical or patient management; or
- violate the rights of any third party, including intellectual property, privacy, and publicity rights.
13. Third-Party Services
The Service may interoperate with third-party products and services you choose to connect, such as email providers, identity providers, or AI model providers. Your use of those third-party services is governed by their own terms and privacy practices. EZDISPLAY LLC does not control and is not responsible for third-party services, their availability, their API changes, or their outages, and enabling an integration authorizes the applicable data flows between the Service and that third-party.
14. Subscriptions & Payments
The Service may be offered on free, trial, and paid subscription plans. Paid plans, pricing, and billing may be introduced or changed over time. When paid plans are offered, you agree to the following on a prospective basis:
- fees, billing cycles, and any auto-renewal will be clearly disclosed and expressly authorized by you at purchase, and paid subscriptions will renew automatically for successive periods at the then-current rates unless cancelled;
- you are responsible for all charges incurred under your account, including any applicable taxes;
- fees are non-refundable except where required by law or where our published policy expressly provides a refund;
- you may cancel a paid subscription at any time; cancellation takes effect at the end of the then-current billing period and you will retain access until that time;
- we may change prices, plans, features, or usage limits prospectively with reasonable prior notice, and continued use after the change takes effect constitutes acceptance;
- usage-based limits (for example, contact, scan, AI-draft, template, and pipeline limits) apply per plan and may be enforced automatically.
- where a plan is marketed as offering "unlimited" use of a metered feature (for example, card scans or AI drafts on the Pro plan), that description is subject to a Fair Use policy. As of the Effective Date, Fair Use on the Pro plan is 1,500 card scans and 2,000 AI drafts per calendar month — comfortably above typical field-sales-representative usage. We may enforce these limits automatically to protect Service performance and to prevent abuse, including automated, scripted, or non-human usage. If your legitimate business needs exceed these limits, contact us at support@myscannect.com and we will work with you on a suitable arrangement. We may adjust the Fair Use thresholds prospectively with notice.
15. Trials & Promotions
We may offer free trials, credits, promotional plans, or discounts on terms we specify at the time. Trials and promotions may be limited, conditional, modified, or discontinued at any time, and unless we state otherwise, a trial will convert to a paid subscription only if you expressly authorize the conversion.
16. Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant EZDISPLAY LLC a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and commercialize that feedback for any purpose, without obligation to you.
17. Availability & Changes
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may perform scheduled or emergency maintenance, and we may add, modify, restrict, or discontinue features or the Service itself. For paid plans, we will use reasonable efforts to minimize disruption to core functionality you rely on.
18. Export, Suspension & Termination
You may close your account at any time. We may suspend or terminate your access to the Service, in whole or in part, if you materially breach these Terms, if we reasonably believe your use poses a security, legal, or operational risk, if required by law, or if your account becomes long-term inactive. We will use reasonable efforts to give notice where practical.
You are responsible for exporting Customer Data before closure. After termination, we may retain Customer Data for a limited period for backup, legal, audit, and dispute-resolution purposes, after which it will be deleted or de-identified in the ordinary course.
19. Confidentiality
Each party may receive non-public information of the other that is marked or reasonably understood to be confidential ("Confidential Information"). The receiving party will use Confidential Information only to perform under these Terms and will protect it with at least the same care it uses for its own confidential information (and no less than a reasonable standard of care). Confidential Information does not include information that is or becomes public without breach, was lawfully known before disclosure, is independently developed, or is rightfully received from a third party.
20. Disclaimer of Warranties
The Service, including all features, AI Output, and related content, is provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, EZDISPLAY LLC and its licensors disclaim all warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, uninterrupted or error-free operation, and any warranty arising out of course of dealing or usage of trade.
21. Limitation of Liability
To the maximum extent permitted by law, EZDISPLAY LLC and its officers, directors, employees, affiliates, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenues, lost data, loss of goodwill, or business interruption, arising out of or relating to the Service or these Terms, whether based in contract, tort (including negligence), strict liability, or any other theory, even if advised of the possibility of such damages.
To the maximum extent permitted by law, EZDISPLAY LLC's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
22. Indemnification
You will defend, indemnify, and hold harmless EZDISPLAY LLC and its officers, directors, employees, affiliates, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) Customer Data, (b) your or your users' use or misuse of the Service, (c) your sales, marketing, or outreach activities, (d) any submission or storage of PHI or other prohibited data in violation of these Terms, (e) your violation of law or these Terms, or (f) your violation of any third-party right.
23. Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-laws principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
24. Informal Dispute Resolution
Before filing any claim, you agree to first attempt to resolve the dispute informally by contacting us at support@myscannect.com with a description of the dispute and the relief you seek. The parties will negotiate in good faith for at least thirty (30) days from receipt of the notice before initiating formal proceedings.
25. Arbitration & Class-Action Waiver
Except for the exceptions below, any dispute, claim, or controversy between you and EZDISPLAY LLC arising out of or relating to the Service or these Terms will be resolved by binding individual arbitration administered under widely recognized commercial arbitration rules, in English, seated in Virginia, with judgment on the award entered by any court of competent jurisdiction.
Class-action waiver. You and EZDISPLAY LLC each agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
Exceptions. This arbitration section does not apply to (a) claims that qualify for small-claims court, (b) claims to enjoin or otherwise address actual or threatened infringement, misappropriation, or violation of intellectual property rights, (c) claims relating to unauthorized access to, or unauthorized use of, the Service or its systems, and (d) any dispute for which applicable law prohibits pre-dispute arbitration or class-action waiver.
30-day opt-out. You may opt out of this arbitration section by emailing support@myscannect.com with the subject line "Arbitration Opt-Out" within thirty (30) days of first accepting these Terms. Opting out will not affect any other part of these Terms.
26. Venue
To the extent a dispute is not subject to arbitration, or to the extent a court's involvement is otherwise permitted or required, you and EZDISPLAY LLC submit to the exclusive jurisdiction of the state and federal courts located in the Commonwealth of Virginia, United States, and waive any objection to venue in those courts.
27. Changes & General Terms
We may update these Terms from time to time. If we make material changes we will provide reasonable notice, such as by updating the effective date above or notifying you in the Service. Your continued use of the Service after the changes take effect constitutes acceptance.
You agree that we may provide notices and communications to you electronically, including through the Service or to the email address associated with your account. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force. You may not assign these Terms without our prior written consent, and any assignment in violation of this Section is void; we may assign these Terms in connection with a merger, acquisition, financing, or sale of assets. No waiver is effective unless in writing. These Terms, together with any order, plan, or policy referenced in them, constitute the entire agreement between the parties regarding the Service and supersede any prior agreements.
